　 为了增强甲乙双方依法经营、廉洁从业意识，完善自我约束、自我监督机制，营造守法诚信、廉洁高效的工作环境，防止发生违法违纪行为，保护国家、集体和当事人的合法权益，根据国家有关法律法规和廉洁自律规定，特订立本廉洁协议书：

　For the purpose of intensifying the awareness of the both Parties on legal operation, improving the mechanism of self-restraint and self-supervision, creating a law-abiding and honest as well as high-efficiency working environment, preventing behaviors violating laws and principles from happening, and protecting the legitimate interests of the country, collective, and Parties concerned, it is hereby concluded the Agreement of Business Ethics and Principles (hereinafter referred to as the “Agreement“) in accordance to relevant state laws and regulations as well as provisions on honesty and self-discipline.

　第一条 甲、乙双方的共同责任 Article I Common Responsibilities of Party A and Party B

　（一）严格遵守国家关于市场准入、招标投标、工程建设、物资采购等市场经济活动的法律法规、政策以及廉洁建设规定。

　(I) Strictly abide by laws, regulations, policies, and integrity construction stipulations on market economic activities such as market access, tendering and biding, engineering construction, and supplies purchasing;

　（二）严格履行合同约定，自觉承担合同义务。

　(II) Strictly perform the Contract promises, and consciously undertake the Contract obligations; （三）业务活动必须坚持公平、公正、公开和诚实守信的原则（除法律法规另有规定者外），不得为获取不正当利益，损害国家、集体和对方利益，不违反招标投标、工程建设管理、物资采购等方面的规章制度。

　(III) The business activities must adhere to the principle of fairness, impartiality, openness, and good faith (except that otherwise stipulated by laws and regulations). Both Parties shall not damage the interests of the country, collective, and the other Party to obtain illegitimate interests. Both Parties shall not go against the rules and regulations on such aspects as tendering

　and bidding, engineering construction and management, and supplies purchasing.

　（四）建立健全自我制约制度，开展廉洁教育，公布举报电话，监督并认真查处违法违纪行为。

　(IV) Both Parties shall establish a sound system for self-restraint, develop integrity education, publish informant hotline, and supervise and seriously investigate the behaviors violating laws and regulations.

　（五）发现对方在业务活动中有违规、违纪、违法行为的，应及时提醒对方，情节严重的，应向有关纪检监察部门举报。

　(V) One Party shall timely remind the other Party if detecting behaviors going against regulations, rules, and laws in the business activities. In case of serious violation, the behaviors shall be reported to relevant discipline inspection and supervision department.

　第二条 甲方的责任：

　Article II Responsibilities of Party A

　甲方相关工作人员，在业务活动的事前、事中、事后，应遵守以下规定：

　Relevant working personnel of Party A shall abide by the following regulations before, during, and after business activities.

　（一）贯彻落实有限责任公司有关廉政建设责任制及廉洁从业的规定，建立企业诚信档案； (I) Party A shall implement the stipulations of Corporation on the accountability for the construction of honest Party and government and clean practice, and establish the enterprise credit archive;

　（二）按照公平、公正、公开和诚实守信的原则开展各项业务活动，为乙方提供公平的竞争环境与平台；

　(II) Party A shall develop various business activities according to the principle of fairness, impartiality, openness, and good faith, and provide Party B with the fair competition environment and platform;

　（三）不准向乙方泄漏涉及有关业务活动的秘密； (III) Party A shall not disclose Party B about the secrets involving relevant business activities.

　（四）不准向乙方和相关单位索要或接受回扣、红包、礼金、购物卡、有价证券、贵重物品和好处费、感谢费等； (IV) Party A shall not claim or accept kickback, red packet, cash gift, shopping card, negotiable securities, valuables, and favor fee from Party B and relevant units;

　（五）不准在乙方和相关单位报销任何应由甲方或个人支付的费用；

　(V) Party A shall not apply for reimbursement from Party B and relevant units for the expenses which shall be paid by Party A or individuals;

　（六）不准要求、暗示或接受乙方和相关单位为个人装修住房、婚丧嫁娶、配偶子女的工作安排以及境内外旅游等提供方便； (VI) Party A shall not request, suggest, or accept Party B and relevant units to provide convenience for individual house decoration, preparation for weddings and funerals, employment arrangement for children, and outbound and inbound tourism;

　（七）不准向乙方介绍配偶、子女、亲属参与与甲方有关的经济活动，不得以任何理由向乙方和相关单位推荐第三方单位； (VII) Party A shall not introduce spouse, children, and relatives to participate in the economic activities related to Party A. Party A shall not recommend third-party unit to Party B and relevant units for any reasons;

　（八）不准参与影响相关工作正常和公正开展的其他活动； (VIII) Party A shall not participate in other activities affecting the normal and impartial development of relevant work;

　（九）不准违反《中共中央纪委关于严格禁止利用职务上的便利谋取不正当利益的若干规定》的内容。

　(IX) Party A shall not go against the contents in Several Regulations of the Central Committee of the Communist Party of China on Strictly Prohibiting Taking Advantage of Convenience of Position to Seek Illegitimate Rights and Interests.

　第三条 乙方的责任：

　Article III Responsibilities of Party B

　在与甲方业务交往过程中，按照有关法律法规和程序开展工作，严格执行国家的有关方针、政策，并遵守以下规定：

　In the process of business contact with Party A, Party B shall develop work in accordance with relevant laws & regulations and procedures. Party B shall strictly implement relevant policies and guiding principles of the country, and abide by the regulations as follows.

　（一）不准以任何理由为甲方和相关单位报销应由对方或个人支付的费用； (I) Party B shall not reimburse the expenses which shall be paid by Party A and individuals;

　（二）不准以任何理由向甲方负责人及其工作人员赠送回扣、红包、礼金、购物卡、有价证券、贵重物品和好处费、感谢费等； (II) Party B shall not give the persons in charge and working personnel of Party A for any reasons with kickback, red packet, cash gift, shopping card, negotiable securities, valuables, and favor fee;

　（三）不准以任何理由为甲方、与甲方相关的单位或个人提供高消费宴请及娱乐活动； (III) Party B shall not provide Party A, units or individuals related to Party A with high-consumption banquets and entertainment activities for any reasons;

　（四）不准以任何理由为甲方、与甲方相关的单位或个人购置或提供通讯工具、交通工具和高档办公用品； (IV) Party B shall not purchase or provide Party A, units or individuals related to Party A with communication tools, vehicles, and high-grade office supplies;

　（五）不准接受或暗示为甲方、与甲方相关的单位或个人装修住房、婚丧嫁取、配偶子女的工作安排以及境内外旅游等提供方便； (V) Party B shall not accept or hint to provide Party A, units and individuals related to Party A the convenience for house decoration, preparation for weddings and funerals, employment arrangement for children, and outbound and inbound tourism;

　 （六）不准以谋取非正当利益为目的，擅自与甲方工作人员就业务问题进行私下商谈或者达成利益默契； (VI) Party B shall not, with the purpose of obtaining illegitimate interests, arbitrarily make private conversations or reach interest agreement with the working personnel of Party A on the issues of employment;

　（七）发现甲方工作人员有违反本廉洁协议书规定的，应向甲方单位举报。有限责任公司受理部门：监察局；举报电话：；举报邮箱：。（根据甲方单位的不同修改具体受理部门和电话）

　(VII) Party B shall report to Party A in case detecting that the working personnel of Party A go against the stipulations of the Agreement. Report acceptance department of Corporation: Supervision Division: informant hotline: , report E-mail: . (The acceptance department and telephone number varies with the units of Party A.)

　第四条 相关责任

　Article IV Related Responsibilities

　（一）甲方有违反本廉洁协议书第一、二条规定的，严格按照管理权限，依据有关法律法规和规章制度给予纪律处分或组织处理；涉嫌犯罪的，移送司法机关依法追究刑事责任；给乙方单位造成经济损失的，应依法予以赔偿。

　(I) In case Party A goes against the stipulations in Article I and II of the Agreement, disciplinary sanction or organizational treatment will be imposed to Party A in strict accordance with the management authority and relevant laws and regulations as well as rules. In case a crime is involved, Party A shall be transferred to judicial offices for affixing criminal liabilities. In case economic losses are caused to the units of Party B, Party A shall make compensation for Party B’s losses.

　（二）乙方违反本廉洁协议书第一、三条规定的，根据国家和南方电网公司招投标等有关规定，对乙方进行处理。涉嫌犯罪的，移送司法机关依法追究刑事责任；给甲方单位造成经济损失的，应依法予以赔偿。

　(II) In case Party B violates the stipulations in Article I and III of the Agreement, treatment according to relevant stipulations of the country and China Southern Power Grid on tendering and biding shall be made to Party B. In case a crime is involved, Party B shall be transferred to judicial offices for affixing criminal liabilities. In case economic losses are caused to the units of Party A, Party B shall make compensation for Party A’s losses.

　（三）乙方违反本廉洁协议书第一、三条规定，发生行贿行为，经政府有关执纪执法部门或甲方纪检监察机构查证属实，甲方根据南方电网公司有关规定，视情节轻重对乙方实施一定期限的市场禁入。

　(III) In case Party B violates the stipulations in Article I and III of the Agreement and in case of bribery behaviors which are verified by relevant discipline execution and law enforcement department of the government or discipline inspection and supervision institution of Party A, Party A can restrict the market access of Party B with a certain time limit according to relevant stipulations of China Southern Power Grid and actual situations.
